Elektrikhive 24 Ltd

This Agreement sets out the terms under which independent contractors (“Contractor”, “you”) provide services to Elektrikhive 24 Ltd (“Company”, “we”, “us”). By submitting the Contractor Onboarding Form and confirming acceptance electronically, you agree to be bound by this Agreement and the Staff Agency Rules below.
Contractor details, including full name, address, contact details, and date of acceptance, are supplied via the Contractor Onboarding Form and form an integral part of this Agreement.

1. Independent Contractor Status
1.1 You are engaged as an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, or joint venture.
1.2 You are responsible for all tax, National Insurance, and statutory obligations, including holding a valid UTR number.
1.3 Elektrikhive 24 Ltd does not deduct tax or provide employee benefits.
1.4 You may work for third parties when not on assignment, subject to the restrictions in this Agreement.

2. Assignments and Services
2.1 We may offer assignments from time to time, but are not obliged to do so. You are not obliged to accept any assignment.
2.2 Assignment details, including location, hours, and rates, will be confirmed per booking or purchase order.
2.3 If there is a conflict between this Agreement and a purchase order, the purchase order will take precedence for that assignment.
2.4 You do not have authority to enter into contracts or approve expenditure on behalf of Elektrikhive 24 Ltd.

3. Working Methods and Conduct
3.1 You are responsible for your own working methods and professional expertise while following instructions from the Shift Supervisor or Venue Supervisor on site.
3.2 You must perform services with reasonable skill, care, and professionalism at all times.

4. Payments and Invoicing
4.1 Payment is made at the agreed rate and payable within 21 days of submitting a valid invoice, subject to client payment being received.
4.2 You must submit a valid invoice using the required template where applicable.
4.3 Expenses are reimbursed only if pre approved in writing and supported by valid receipts.
4.4 You are not entitled to company benefits.

5. Confidentiality
5.1 You will have access to confidential information and agree not to disclose it except where required to perform your duties.
5.2 Confidential information includes financial data, client lists, pricing, internal systems, staffing details, intellectual property, and business processes.
5.3 You must not publish statements or content about Elektrikhive 24 Ltd or its clients without prior written consent.

6. Intellectual Property
All work product created during assignments belongs exclusively to Elektrikhive 24 Ltd, with full intellectual property rights assigned to the Company.

7. Return of Property
Upon completion or termination of an assignment, all Company property must be returned immediately.

8. Restrictions and Non Solicitation
8.1 You must not solicit, approach, or accept work directly from clients introduced by the Company.
8.2 If a client approaches you regarding future work, you must notify the agency immediately before any discussion takes place.
8.3 You must not hire or engage Company staff or contractors for 6 months following termination without written consent.
8.4 These rules protect your position within the agency and allow us to negotiate fair terms on your behalf.

9. Alcohol, Drugs, and Professional Behaviour
9.1 The use of alcohol or drugs before or during shifts is strictly prohibited.
9.2 If a client offers alcohol, you must politely decline and suggest enjoying it after your shift.
9.3 You must maintain respectful, professional interactions with clients, colleagues, and guests at all times.
9.4 Personal boundaries, respectful language, and inclusive behaviour are mandatory.

10. Dress Code and Presentation
10.1 You must present a clean and professional appearance at all times.
10.2 If no specific dress code is provided, wear plain black clothing with no large logos or branding.

11. Punctuality, Breaks, and Shift Conduct
11.1 You must arrive on time. Repeated lateness may affect payment and future assignments.
11.2 Shifts are paid as booked. All breaks must be approved by the client on site, either via the Shift Supervisor or Venue Supervisor.
11.3 Follow all client health and safety protocols and maintain a clean and safe workspace at all times.
11.4 If you feel unwell during a shift, notify the client, Shift Supervisor, or Venue Supervisor immediately and step aside until further instruction.

12. Confidentiality of Payment Information
You must not discuss pay rates, invoices, or payment terms with clients or other contractors. All payment queries must be directed to the agency.

13. Termination
13.1 This Agreement applies per assignment and ends once the assignment concludes unless renewed.
13.2 Elektrikhive 24 Ltd may terminate immediately for misconduct, breach of terms, insolvency, or serious concerns.

14. Data Protection
14.1 We comply fully with UK GDPR and the Data Protection Act 2018.
14.2 By accepting this Agreement, you consent to the processing of your personal data for staffing, payroll, and operational purposes.

15. Variations and Entire Agreement
15.1 No variation is valid unless made in writing and authorised by Elektrikhive 24 Ltd.
15.2 This Agreement replaces all previous agreements between you and the Company.

16. Notices
Notices must be given in writing to your last known contact details or the Company’s registered address.

17. Governing Law
This Agreement is governed by the laws of England and Wales.

18. Electronic Acceptance
This Agreement is accepted electronically.
By ticking the acceptance box on the Contractor Onboarding Form, you confirm that you have read, understood, and agree to these terms.
