These Terms and Conditions (“Terms”) set out the rules and responsibilities governing the event staffing services provided by *Elektrikhive 24 Ltd* (“we”, “us”, “our”) to you (“Client” or “you”). By booking or using our services, you accept these Terms in full.

1. Our Services
We provide professional event staffing — bartenders, mixologists, hosts, security, and front-of-house staff — delivered with reasonable skill and care.
You are responsible for securing all necessary licences, permits, and insurance for your event. We act strictly as a staffing provider and are not the event organiser or regulator.
Any changes to agreed services must be confirmed in writing. Additional services will be charged as per our Rate Card.

2. Agency & Third-Party Providers
You authorise us to act as your agent for sourcing and managing event staff.
We accept no liability for any issues, delays, or damages caused by third-party providers you engage through us.

3. Acceptance & Complaints
You must check the services upon delivery and notify us in writing of any concerns within 24 hours. Failure to do so means you accept the services as provided.
Any invoice disputes must be raised in writing within 7 days of the invoice date; otherwise, the invoice is accepted as correct.

4. Fees, Payment & Cancellations
Fees are payable as agreed.
Invoices will be issued within 5 days following the event and must be paid within 14 days, unless otherwise agreed.
Late payments may incur interest and debt recovery costs.
Cancellation: Cancelling a shift within 24 hours of the event will incur a charge equal to 4 hours per booked staff member.
Late Bookings: Bookings made within 36 hours of the event will attract a £2.50 per hour surcharge to cover the extra urgency and coordination required.
Minimum Shift: All shifts must be booked for a minimum of 5 hours; shorter shifts will be billed as 5 hours.

5. Liability & Indemnity
We are not liable for any indirect, consequential, or special losses, including (but not limited to) loss of profits, stock, business, or reputation.
Our total liability in respect of any claim is strictly limited to the total fees paid for the specific services to which the claim relates.
You agree to indemnify and hold us harmless against any claims, costs, or damages arising from your breach of law, venue regulations, or from any injury or damage occurring at the event, except where such injury or damage is directly caused by our own proven negligence. We are not liable for errors, omissions, or negligence on the part of individual freelancers engaged for the event.

6. Confidentiality
Both parties must keep confidential any proprietary or sensitive information for 3 years after our agreement ends.
This includes business strategies, pricing, client lists, staffing details, and operational processes.
Exceptions apply if information is public or required by law.

7. Direct Employment of Staff
You must not solicit, engage, or directly employ any staff introduced by us without prior written consent.
If you wish to hire any staff directly, you must notify us in writing and pay a one-off recruitment fee of £500 per individual.

8. Rates & Communication
You may not negotiate rates or payment terms directly with our freelancers or staff. All such matters are managed exclusively by us to protect consistency and compliance.

9. Governing Law & Jurisdiction
These Terms are governed by English law.
Any disputes will be subject to the exclusive jurisdiction of English courts.

10. Data Protection & Privacy
- We fully comply with UK GDPR and the Data Protection Act 2018.
- Personal data is processed lawfully and securely, solely for staffing and payroll purposes.
- By using our services, you consent to this data processing.
- Consent for processing is collected via staff onboarding forms and client contracts.
- Both parties agree to cooperate on data rights requests and breach notifications as required by law.

11. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., natural disasters, strikes, government restrictions, pandemics).
The affected party must notify the other promptly, and either may terminate the agreement if the event persists for over 30 days.
